Terms.
1. Acceptance
By creating a tenant or signing an order form referencing these terms, you agree to them on behalf of your organisation.
2. Account & tenant obligations
The tenant administrator is responsible for managing user access, role assignments, and the integrity of the data uploaded to the platform. You will not share credentials between users; each engineer requires their own seat.
3. Subscription & payment
Subscriptions are billed monthly or annually. Pro tier billing accepts USD, NGN, KES, ZAR, BRL via card or bank transfer. Past-due accounts move to read-only after 14 days.
4. Acceptable use
You will not upload content unrelated to operating physical infrastructure. You will not attempt to circumvent tenant isolation or rate limits. Abuse of the API will result in suspension.
5. Intellectual property
NordGryd and Nordaxiz Technology Limited retain all rights in the platform. You retain all rights in your operational data. We may use aggregate, de-identified data to improve the service.
6. Termination
Either party may terminate with 30 days' written notice. We may terminate immediately for material breach, non-payment beyond 30 days, or illegal use. On termination, we provide a data export for 30 days.
7. Liability
To the maximum extent permitted by law, our aggregate liability is capped at the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
8. Indemnification
You indemnify Nordaxiz Technology Limited against claims arising from your use of the platform, your data, or your violation of these terms.
9. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction.
10. Disputes
Before initiating proceedings, both parties agree to 30 days of good-faith negotiation. Unresolved disputes proceed to arbitration under the Lagos Court of Arbitration rules.
11. Changes
We may update these terms with 30 days' notice. Continued use after the notice period constitutes acceptance. Material changes will be communicated by email to tenant administrators.
